            THE 2022 BOARD OF DIRECTORS






            The new Board of Directors was elected at the Annual

            General Meeting that took place in November 2021.
            Here’s a short profile of each of the Directors.



                                    Abel Mawela: Chairman and member of the Legal and Governance Sub-Committee
                                    Abel’s area of expertise includes finance, accounting and auditing; corporate governance; insurance;
                                    risk management; and compliance. His career spans all segments and operations of business, both
                                    in the private sector and the public sector, including national departments, provincial legislatures,
                                    agencies, public entities and local government. He is a Certified Director with the Institute of Directors,
                                    and an accredited trainer for mSCOA, as well as a preferred trainer for the National Treasury and the
                                    Chartered Institute of Government Finance and Audit Risk Officers. Abel is also an accredited liquidator
                                    with the Department of Justice, an Associate Insolvency Practitioner and a designated Business Rescue
                                    Practitioner with the South African Restructuring and Insolvency Practitioners Association NPC.


                                    Gerald Venter: Deputy Chairman and Chairman of the Finance Sub-Committee
                                    Gerald  Venter is a qualified Chartered Accountant (SA) and has a master’s degree from the
                                    University of the Witwatersrand Business School. He recently completed his first two-year term as
                                    a Director of the Home Owners Association, where he chaired the Finance Sub-Committee. He is
                                    pleased to have been asked to continue in that role.
                                      Gerald retired eight years ago from one of the ‘Big Four’ auditing practices, after having held
                                    senior financial positions in a number of listed companies. He and his wife, Annette, settled
                                    in Honey Bush Lane four years ago to be nearer their daughter and her family who have been
                                    residents in the estate for many years.  “We enjoy the peace and security the estate provides and
                                    for which it has become widely recognised,” he says.


                                    Douw Breed: Chairman of the Legal and Governance Sub-Committee
                                    Douw Breed is a practising attorney and managing director of a prominent law firm in Centurion.
                                    He specialises in corporate and commercial law, with a particular focus on competition and
                                    administrative law.
                                      Before being elected to the Board of Directors of the HOA, he was a member of the Legal and
                                    Governance Sub-Committee which is primarily mandated to assist the Board with matters requiring
                                    guidance and advice to ensure that any risks – from a corporate governance and legal perspective –
                                    are correctly handled or otherwise managed and mitigated. The effective functioning of this portfolio
                                    remains essential to the HOA since any such risks may directly or indirectly affect the rights and
                                    privileges that home owners and other residents subscribe to at Irene Farm Villages. Being responsible
                                    for this function during the next term, Douw will similarly make this a priority.


                                    Andre Nel: Chairman of the Security and Digital Infrastructure Sub-Committees
                                    Andre Nel was born and bred on a farm in the North West Province (at the time it was known
                                    as the Western Transvaal). He matriculated in 1975 and went on to study at Potchefstroom
                                    University (PUK) part-time while working at CLOVER. He completed his studies in 1988.
                                      Andre has been working in the Supply Chain field for the past 45 years and is currently
                                    consulting for various businesses.
                                      He joined the Irene Farm Villages family eight years ago. For the past year, he was the
                                    Director for Security.
                                      Andre married his school sweetheart, Alta.  They have three adult children and four
                                    grandchildren, who are the love of his life.
